1. Introduction

Welcome to Polymarket Kenya ("the Platform", "we", "us", or "our"). Polymarket Kenya is a prediction market platform that enables users to trade on the outcomes of real-world events using Utabiti Tokens (UTB). By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

Polymarket Kenya operates as an information and forecasting platform. Prediction markets aggregate collective knowledge to produce probability estimates for future events. The Platform is not a gambling service, lottery, or betting operator. Trading on prediction markets is a fundamentally different activity that rewards informed analysis and research.

2. Eligibility

  • You must be at least 18 years of age to use the Platform.
  • You must be a resident of Kenya or otherwise legally permitted to access prediction market services in your jurisdiction.
  • You must not be subject to any sanctions, restrictions, or legal prohibitions that would prevent you from using the Platform.
  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • Only one account per individual is permitted. Creating multiple accounts may result in suspension or termination.

3. Account Registration & Security

To use the Platform, you must register an account by providing a valid email address and phone number. Your account is linked to a MetaMask wallet on the Polygon blockchain network.

  • You are solely responsible for maintaining the confidentiality of your login credentials, MetaMask wallet private keys, and recovery phrase.
  • You must enable two-factor authentication (2FA) when available and use a strong, unique password.
  • You must immediately notify us of any unauthorized access to your account or any suspected security breach.
  • We are not liable for any loss or damage arising from your failure to secure your account credentials or wallet recovery phrase.
  • We reserve the right to suspend or terminate accounts that show signs of unauthorized access or suspicious activity.

4. Trading Rules

The Platform hosts prediction markets where users can buy and sell outcome shares. Each share represents a position on a specific outcome of an event.

  • Binary Markets: Markets with two possible outcomes (e.g., Yes/No). Winning shares resolve at 1.00 UTB; losing shares resolve at 0.00 UTB.
  • Multi-Outcome Markets: Markets with more than two possible outcomes. One outcome resolves at 1.00 UTB; all others resolve at 0.00 UTB.
  • Order Types: Users can place market orders (executed immediately at the best available price) or limit orders (executed when the market reaches your specified price).
  • Price Range: Share prices range from 0.01 UTB to 0.99 UTB, reflecting the market's implied probability of that outcome.
  • All trades are final once executed. There are no cancellations for completed market orders.
  • Limit orders may be cancelled at any time before they are filled.
  • The Platform reserves the right to halt trading on any market at its discretion, including in cases of suspected manipulation or extraordinary circumstances.

5. Deposits & Withdrawals

Deposits

  • M-Pesa: Deposit funds via M-Pesa through our integrated PayHero payment gateway. Deposits are typically credited within 1-5 minutes after M-Pesa confirmation.
  • MetaMask: Transfer UTB tokens directly to your Platform wallet from your MetaMask wallet on the Polygon network.
  • Minimum deposit amounts may apply and will be displayed on the wallet page.

Withdrawals

  • M-Pesa: Withdraw UTB to your M-Pesa account. Withdrawals are processed by the operations team and may take up to 24 hours.
  • MetaMask: Withdraw UTB tokens to your MetaMask wallet on the Polygon network. On-chain transactions are subject to network confirmation times.
  • Withdrawal requests are subject to verification and may be delayed if suspicious activity is detected.
  • Minimum withdrawal amounts may apply.

6. Fees

  • Trading Fees: A small fee may be applied to each trade executed on the Platform. Current fee rates are displayed before order confirmation.
  • Withdrawal Fees: Withdrawals via M-Pesa may incur processing fees charged by the payment provider. Polygon network gas fees apply to on-chain MetaMask withdrawals.
  • Deposit Fees: M-Pesa deposits may be subject to standard M-Pesa transaction charges from Safaricom.
  • We reserve the right to modify fee structures with reasonable notice to users. Updated fee schedules will be posted on the Platform.

7. Market Resolution

Markets are resolved by Platform administrators based on verifiable, publicly available information sources.

  • Each market specifies its resolution criteria and source(s) at the time of creation.
  • Resolution decisions are made within a reasonable timeframe after the event concludes, typically within 24-72 hours.
  • Resolution notes explaining the decision and citing sources will be published for each resolved market.
  • Disputes: Users may submit a dispute within 48 hours of market resolution. Disputes must include evidence or reasoning that the resolution was incorrect. The Platform will review disputes and issue a final ruling.
  • In extraordinary circumstances (e.g., ambiguous outcomes, cancelled events), the Platform may void a market and return all funds to participants.
  • Resolution decisions, after any dispute review, are final and binding.

8. Utabiti Token (UTB)

  • UTB is the sole trading currency on the Platform, pegged at a 1:1 ratio with the Kenyan Shilling (KES). 1 UTB = 1 KES.
  • UTB is an ERC-20 token deployed on the Polygon blockchain network.
  • UTB is a utility token used exclusively for trading on the Platform. It is not a security, investment product, or financial instrument.
  • UTB does not represent equity, ownership, or any claim on the assets or revenue of Polymarket Kenya.
  • The Platform maintains the 1:1 KES peg through controlled minting and redemption. UTB tokens are minted when deposits are received and redeemed when withdrawals are processed.
  • On-chain UTB transactions are recorded on the Polygon blockchain and can be verified via Polygonscan.

9. Prohibited Activities

The following activities are strictly prohibited on the Platform:

  • Market Manipulation: Any attempt to artificially influence market prices or outcomes, including coordinated trading, spoofing, or layering.
  • Wash Trading: Trading with yourself or colluding with others to create artificial volume or misleading market activity.
  • Bot Abuse: Using automated scripts, bots, or software to gain an unfair trading advantage without explicit Platform authorization.
  • Insider Trading: Trading based on material non-public information about the outcome of an event.
  • Multiple Accounts: Creating or operating more than one account per individual.
  • Fraud: Providing false information, using stolen payment methods, or engaging in money laundering activities.
  • Abuse: Harassing other users, staff, or administrators, or attempting to exploit vulnerabilities in the Platform.

Violation of these rules may result in immediate account suspension, forfeiture of funds, and reporting to relevant authorities.

10. Intellectual Property

All content, software, designs, logos, trademarks, and other intellectual property on the Platform are owned by or licensed to Polymarket Kenya. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

User-generated content (such as comments or display names) remains the property of the user, but you grant us a non-exclusive, royalty-free license to display such content on the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not guarantee uninterrupted, error-free, or secure access to the Platform.
  • We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to trading losses, data loss, or service interruptions.
  • We are not responsible for losses caused by blockchain network congestion, smart contract failures, MetaMask wallet issues, or M-Pesa service outages.
  • Our total liability to you for any claim shall not exceed the amount of UTB held in your Platform account at the time of the claim.

12. Dispute Resolution

  • Any disputes arising from the use of the Platform shall first be resolved through informal negotiation by contacting our support team.
  • If informal resolution fails, disputes shall be submitted to mediation before a mutually agreed mediator in Nairobi, Kenya.
  • If mediation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration Act of Kenya.
  • Class action lawsuits and class-wide arbitrations are not permitted. All disputes must be brought on an individual basis.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Kenya, with venue in Nairobi.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 14 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate your account at any time if you violate these Terms, engage in prohibited activities, or if required by law. Upon termination, you may withdraw any remaining UTB balance subject to verification. We reserve the right to withhold funds if fraud or violations are suspected, pending investigation.
